These Terms and Conditions govern your use of https://www.amagencyusa.com (the “Site”), operated by AMAGENCY LLC (“AMAGENCY,” “we,” “us”), and any services you order from us. By using the Site or placing an order, you agree to these terms.
Use of the Site
The Site is provided to help prospective clients learn about and request AMAGENCY's services. You agree not to misuse the Site, interfere with its operation, or attempt to access it in an unauthorized manner.
Two Ways to Work With Us
There are two kinds of engagement, and they are governed differently:
- Online orders. The $1,000 Website Launch is ordered directly through this Site with no separate contract. For those orders, these Terms together with our Refund Policy and Privacy Policy are the complete agreement between us.
- Quoted projects. Custom websites, AI systems and automation, voice agents, and custom GPTs are scoped individually. Their scope, deliverables, timeline, and price are set out in a written quote or service agreement, which governs that project if it conflicts with anything here.
The $1,000 Website Launch
Your order includes what is listed on the Website Launch page at the time you pay:
- Custom, conversion-focused design built around your business
- Responsive, mobile-first development
- Up to 5 pages (Home, About, Services, Contact, and one more)
- Lead-capture contact form
- Technical and local SEO foundation
- A live preview at your own subdomain before anything goes public
Anything beyond that list — additional pages, e-commerce, custom integrations, copywriting beyond what you supply, or ongoing changes after launch — is quoted separately and is never added to your order without your written approval. The price is paid in full at checkout and is not a deposit.
Your Content
You are responsible for the material you give us — logos, text, images, and business details. You confirm that you own it or have permission to use it, that it is accurate and lawful, and that you are authorized to place the order on behalf of your business. You agree to cover any claim against AMAGENCY that arises from content you supplied.
Preview Sites
During a build, your site is shown on a preview address on amagencyusa.com that we control. If the address you asked for is already taken, we will adjust it slightly and let you know. Preview sites are temporary: they are hidden from search engines, they are not a substitute for your live site, and they may be taken down 90 days after launch or after a project is canceled.
Launch, Hosting & Domains
Launch means publishing your finished site to a domain you own or register. Domain registration stays in your name and is billed to you by the registrar; we tell you what it costs before launch and set it up as part of the launch.
AMAGENCY hosts your website under an annual plan that also covers ongoing search-engine optimization and site upkeep. The plan, its price, and exactly what it includes are confirmed with you in writing before launch, and it renews annually unless you cancel.
If the annual plan lapses or is cancelled, your site may be taken offline. That does not affect your ownership of it — you own the finished website, and on request we will hand over an export of your site's content and files so you can host it elsewhere. Give us reasonable notice and we will help you move.
Who Owns the Work
Once a project is paid in full, you own the finished website — its design, the content you gave us, and the pages we built for you. AMAGENCY keeps ownership of the underlying tools, frameworks, components, and code we reuse across projects, and grants you a permanent license to use them as part of your site. Until payment clears, all work remains AMAGENCY's property. The content, design, and code of this Site itself are owned by AMAGENCY LLC.
Unless you tell us otherwise in writing, we may show the work we built for you — a screenshot, a link, and a short description — in our portfolio and marketing. We never publish your private business data or your customers' information when doing so.
Payments
Payments are processed by Stripe in U.S. dollars. The $1,000 Website Launch is paid in full at checkout; quoted projects are invoiced according to their written quote. Prices exclude any applicable sales or use tax. If you believe a charge is wrong, please contact us before disputing it with your card issuer — we can almost always resolve it faster directly, and a chargeback pauses work on your project while it is reviewed.
Projects That Stall
Every build depends on your input. If we are waiting on content, feedback, or launch approval from you for more than 30 days after asking, we may close the project. The payment is treated as earned for the work completed to that point, and we will reopen the project when you are ready.
Third-Party Platforms
Many systems we build run on third-party platforms — a CRM, a phone-number provider, an AI model provider, a hosting company. Where possible those accounts are opened in your name, their fees are billed to you directly, and their terms of service apply to your use of them. We tell you which platforms your build needs and what they cost before you commit. AMAGENCY is not responsible for the availability, pricing changes, or practices of third-party services.
AI Systems Can Make Mistakes
AI voice agents, custom GPTs, and automations are tools that support your team, not a replacement for it. They may misunderstand a caller, give incomplete or inaccurate information, or book or route something incorrectly. You are responsible for reviewing AI output, keeping the approved information they draw on current, and maintaining a human escalation path. AI agents must not be relied on for emergency or life-safety calls.
Your Responsibilities With a Voice Agent
If we build you an AI voice agent, you are responsible for how it is used with your callers: telling callers that calls may be recorded and that they are speaking with an AI assistant where the law requires it (California requires consent from everyone on a recorded call), obtaining consent for any outbound calls or text messages, and meeting any rules specific to your industry, such as health or legal privacy requirements. We will configure the agent to play these notices when you ask us to.
No Guaranteed Outcomes
We build websites, AI systems, and voice agents designed to support a business's operations. We do not guarantee specific results — revenue, lead volume, search rankings, or cost savings — because outcomes depend on many factors outside our control.
Warranties & Limitation of Liability
Except as set out in a signed written agreement, our services and deliverables are provided “as is” without warranties of any kind. To the fullest extent permitted by law, AMAGENCY LLC's total liability for any claim related to a project is limited to the amount you paid us for that project, and we are not liable for indirect, incidental, or consequential damages, lost profits, lost data, or downtime caused by third-party platforms, your hosting, or changes you or others make to a delivered site.
Governing Law & Disputes
These terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before either side files a claim, both agree to try in good faith to resolve the issue directly for 30 days. Any dispute we cannot resolve informally will be handled in the state or federal courts located in San Joaquin County, California, and you agree to that venue.
Changes to These Terms
We may update these terms from time to time. The “Last updated” date above reflects the most recent revision. Orders placed before a change are governed by the terms in force when the order was placed.
